- Copyright and Reproductions
All photographic materials, including but not limited to digital files, negatives, transparencies, proofs, and previews, shall be the exclusive property of the Photographer. The Photographer shall own the copyright in all images created and shall have the exclusive right to make reproductions.

- Client Usage
The Client is obtaining prints for personal use only, and shall not sell said prints or authorize any reproductions thereof by parties other than the Photographer. Without permission from the Photographer, the Client shall not download, copy, print, screen shot, use as a basis for derivative works, manipulate in any way, or otherwise use the Photographer’s images. If Client is obtaining a print for reproduction or publication, Photographer authorizes Client to reproduce the print only as agreed upon by Client and Photographer. In such event, Client shall request that a credit for the Photographer be placed adjacent to the photograph on publication, but shall have no liability if the publication refuses or omits to do so. 

- Use 
The License to Use comes into effect from the date of payment of the relevant invoice(s). No use may be made of the Photographs before payment in full of the relevant invoice(s) without the Photographer’s express permission. Any permission which may be given for prior use will automatically be revoked if full payment is unmade by the due date or if the Agency is put into receivership or liquidation. Where use is restricted in the Agreement, permission to use the Photographs for other purposes will normally be granted upon payment of a further fee, to be mutually agreed. Note: An agreement must be reached with the Photographer before the Photographs may be used for other purposes.

- Exclusivity
The Agency and Advertiser will be authorised to publish the Photographs to the exclusion of all other persons including the Photographer. However, the Photographer retains the right in all cases to use the Photographs in any manner at any time and in any part of the world for the purposes of advertising or otherwise promoting his work. After the exclusivity period indicated in the Licence to Use the Photographer shall be entitled to use the Photographs for any purposes.

- Payment
Payment by the Client must be made of all invoices issued by the Photographer for the commissioned work within 30 days of the issue of the relevant invoice. If the invoice is not paid, in full, on the due date, the Photographer reserves the right to charge interest at the rate prescribed by the Late Payment of Commercial Debt (interest) Act 1998 from the date payment was due until the date payment is made.

- Client confidentiality
The Photographer will keep confidential and will not disclose to any third parties or make use of material or information communicated to him/her in confidence for the purposes of the photography, save as may be reasonably necessary to enable the Photographer to carry out his/her obligations in relation to the commission.

- Right to a credit
The photographer claims his ‘Right to a Credit’ in all cases. The Photographer’s name or website address will be printed on or in reasonable proximity to all published reproductions of the Photograph(s). The Photographer also asserts his statutory right to be identified in the circumstances set out in sections 77-79 of the Copyright, Designs and Patents Act 1988 or any amendment or re-enactment thereof.

- Supply to third parties
The license to use images only applies to the Client/Advertiser and project as stated on the Invoice.

- Electronic storage
Effort will be made to archive the images for a reasonable period of time by the Photographer. However, the Photographer makes no warranty whatsoever to archive any image or about the nature of its archive past the date of first delivery of the final images. Clients should treat the delivered files carefully, and it is strongly recommended the Client keeps a safe copy.

- Complaints
Any complaints should first be raised by the Client with the Photographer in writing within 14 days from the date of receipt of images. This Agreement incorporates the entire understanding of the parties. Any modifications of this Agreement must be in writing and signed by both parties. 

- Variation
These Terms and Conditions shall be unvaried except by agreement in writing.

- Governing Law and Jurisdiction
These Terms will be governed by and interpreted in accordance with the laws of the State of Country, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Country for the resolution of any disputes.
